copyright issues with re-worked images?

hi guys/girls,
been lurking the forums for a while now and i've tried to research on this topic. forgive me if it's been covered before...here's my question:

if i wanted to include an image from a movie, but i re-worked it (drew it so it is similar, but not exactly the same image from the movie), would i be breaking any copyright laws?

any advice would help. thanks a lot guys. and girls
