Emergency: what do I need to do to make my business official so I can make sales

Default Emergency: what do I need to do to make my business official so I can make sales

I need to get my business name official. There are going to be myself and two other people (3 total). I need to be able to legally make sales. What do I do? This needs to be done asap. I have people waiting for my stuff.

It depends on where you are located.

Look at your state's official website and they will often have a guide for starting new businesses with all the forms and details you need.

Vague is an understatement when describing what the state tells you it needs. They don't specify anything about how many people in the business before you need liability and all that. It's rediculous.

That's probably because there are 1000's of different scenarios for the different types of business setups.

I haven't found a state website yet that didn't give a pretty decent overview of what was needed to get started.

You haven't told us anything about which state you're in or what type of business you're going to be doing, so we can only give you vague answers as well

If you want to know about liability, you'll need to talk to a lawyer. The state can't give you advice on what your liability will be with a set number of partners.

WHAT STATE ARE YOU FROM?

Rodney asks you this because there is probably somebody on here from your state who could give you a run-down on where to look.

I'm in California and let me tell you, if I can get through the Los Angeles County DBA process, you can do it at your location.

Here in California, there are four main things you need (#1 is for any state):

1) Federal Tax ID # (EIN #) (Internal Revenue Service)

2) If you are a Partnership, or a LLC, or any other type of entity other than an individual, you need to file an agreement. The documentation is available online and is easy to do. (California Secretary of State - Business Portal)

3) Resale permit (we got ours from the State Board of Equalization). (California State Board of Equalization) We actually walked into our local office and they did the paperwork for us immediately. Do not over-estimate your sales, or they may ask for a deposit.

4) If you plan to use a DBA (Doing Business As), you will need to file for that paperwork as well. (http://www.lavote.net/CLERK/Business_Name.cfm)

ie: Eric & Debbie, DBA: "Jack Print & Design"

It is pretty easy to do, just follow the online directions.

Also, if you have 4 people running your company, I would follow Rodney's advice and see a lawyer. A few hundred dollars now, might save everyone a heartache later.

You might also want to look at legalzoom.com if you are not sure of the process, they will fill out all required paperwork and send it in for you for a fee.

Nolo Press publishes many books about legal stuff, including for businesses. I have a lot of their books but I haven't read any yet. The following book from them looks like it may be what you're looking for: "Nolo Press Legal Guide for Starting & Running a Small Business" They also publish some legal books about taxes and employees.
